This is a legal agreement (the “Agreement”) between you (“you,” “your,” or “User”) and EZ Fund (collectively, the “Parties”), and is governed by and construed in accordance with the laws of the State of New York.

By accessing or using EZ FUND’s website (the “Site”) and any products, tools, information, or services offered through the Site (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement for as long as you continue to use the Site or Services. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, DO NOT ACCESS OR USE THE SITE OR THE SERVICES.

Your use of certain Services may be subject to additional terms and conditions, which will either be included herein or presented to you for acceptance at the time you register for or use such Services.

EZ FUND connects qualified small business owners with alternative funding, including but not limited to merchant cash advances and other non-bank financing. Through proprietary processes and technology, EZ FUND assists business owners in identifying suitable funding options and, when appropriate, facilitates financing. EZ FUND does not provide loans, make credit decisions, or guarantee funding.

This Agreement may be modified by EZ FUND at any time, in its sole discretion, with or without prior notice. Continued use of the Site or Services following the posting of changes constitutes acceptance of such changes. Please refer to the Revision Date at the end of this Agreement to determine when it was last updated.

EZ FUND operates subject to applicable licensing and disclosure requirements, as set forth in the Licenses and Disclosures section, which is incorporated herein by reference.

1. Defined Terms

“EZ FUND,” “we,” “us,” and “our” refer to EZ FUND and its affiliates. “Service” or “Services” mean any products, tools, software, information, or services provided through the Site. “Funding Provider” means lender, merchant cash advance company, factor, or financing source.

2. Use of the Site and Services

By using the Site or Services, you agree to the following:

a. Exclusive Use. Your account is for your use only and solely for your business purposes. You may not authorize others to access or use your account. EZ FUND is not responsible for unauthorized access resulting from lost or misused credentials.

b. Information Submitted. You are solely responsible for the accuracy, completeness, and legality of all information you submit and for all interactions with third parties.

c. Assumption of Risk. You assume all risks associated with the use of the Services.

d. No Guarantees. EZ FUND does not guarantee funding approval, funding amounts, pricing, terms, or the number of funding offers you may receive.

e. No False Information. You agree to provide true, accurate, current, and complete information at all times.

f. Legal Use Only. You may not use the Site or Services for any unlawful purpose and must comply with all applicable laws.

g. Business Purpose Only. The Services are intended solely for business and commercial purposes, not personal, family, or household use.

h. Age Requirement. You must be at least eighteen (18) years old to use the Site or Services.

3. Proprietary Rights

EZ FUND retains all rights, title, and interest in and to the Site, Services, content, and technology. You may not copy, modify, distribute, reverse engineer, or create derivative works without prior written consent.

By submitting content or information, you grant EZ FUND a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute such content in connection with providing and improving the Services.

4. User Information

Privacy and Data Use (Website & Email Compliance)

Your use of the Site, Services, and any communications from EZ FUND is subject to EZ FUND’s Privacy Policy and Information Security Policy, which are incorporated herein by reference. These policies apply to information collected through the Site, email communications, telephone calls, SMS messages, and any other form of contact initiated by you or EZ FUND. EZ FUND may disclose information as required by law or to protect its rights.

EZ FUND may use anonymized and aggregated data for research, analytics, and service improvement purposes.

5. Services

Merchant Cash Advance and Alternative Funding Services

EZ FUND offers free and/or paid access to business funding assistance of merchant cash advances (“MCA”) and other alternative, non-bank commercial financing products. Any service descriptions provided on the Site are incorporated herein by reference.

6. Third-Party Links and Dealings

The Site may contain links to third-party websites. EZ FUND is not responsible for the content, policies, or practices of any third-party site. Any dealings with third parties are solely between you and such parties.

7. Disclaimer of Warranties

Merchant Cash Advance and Regulatory Disclosure

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT MERCHANT CASH ADVANCES (“MCAs”) AND OTHER ALTERNATIVE FUNDING PRODUCTS ARE NOT LOANS, DO NOT HAVE AN ANNUAL PERCENTAGE RATE (APR), AND ARE BASED ON THE PURCHASE AND SALE OF A PORTION OF A MERCHANT’S FUTURE RECEIVABLES.

Repayment amounts, frequency, and duration are variable and depend on your business’s actual sales or revenue. There is no fixed term, no guaranteed payoff date, and no guarantee that total repayment will occur within any specific timeframe.

EZ FUND MAKES NO REPRESENTATION OR WARRANTY REGARDING THE COST, SUITABILITY, OR OUTCOME OF ANY FUNDING OFFER AND DISCLAIMS ALL LIABILITY ARISING FROM YOUR ACCEPTANCE OF ANY FUNDING AGREEMENT.

Additional MCA Disclosures

a. Daily or Weekly Remittances. EZ Fund may collect remittances daily or weekly based on a percentage of your receivables. Such remittances may impact cash flow.

b. UCC Filings. Funding Providers may file a UCC-1 financing statement as a notice of their interest in receivables. Such filing does not mean ownership of all business assets.

c. Confession of Judgment. EZ Fund may require a confession of judgment or similar remedy where permitted by law.

d. No Advisory Relationship. EZ FUND does not provide legal, tax, or financial advice. You are encouraged to consult independent advisors prior to entering any funding agreement.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZ FUND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES. EZ FUND’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO EZ FUND, OR USD $25.00 IF NO FEES WERE PAID.

9. Indemnification

You agree to indemnify and hold harmless EZ FUND and its affiliates from any claims, damages, or expenses arising from your use of the Site or violation of this Agreement.

10. Communications and Privacy

You consent to receive communications from EZ FUND via email, phone, or other contact information you provide, subject to the Privacy Policy.

11. Term and Termination

This Agreement remains in effect until terminated by either party. EZ FUND may suspend or terminate access at any time, with or without notice.

12. Cancellation

You may request cancellation of your profile by contacting EZ FUND’s customer service through the contact information provided on the Site.

13. General Provisions

This Agreement is governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York.

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
